Matthew Porter

  • Matt Porter is a Director with Alvarez & Marsal Taxand, LLC in Dallas. He advises clients on a variety of compensation and benefit issues related to M&A and corporate restructuring.
  • Mr. Porter’s practice centers around complex tax, regulatory, and corporate governance issues related to compensation and benefits with a particular emphasis on corporate restructuring/turnaround and M&A. He regularly advises on tax due diligence and structuring for both corporate and pass-through entities.
  • Mr. Porter is a regular presenter on compensation and benefits issues for Tax Executives Institute, the Dallas Bar Association, and Lorman Education Services.
  • Mr. Porter received his B.B.A. and B.A. in Finance and Economics, magna cum laude, from Texas Tech University and his law degree from the University of Chicago, where he was a member of the University of Chicago Legal Forum.
  • Mr. Porter is a member of the State Bar of Texas and an executive committee member of the Dallas Bar Association’s Compensation and Benefits Section. He is also a Certified Executive Compensation Professional (CECP) through the WorldatWork organization and an active member of the North Texas Compensation Association (NTCA).

Summary: The presentation will cover key compensation considerations during each phase of a company’s life cycle from start-up, growth, maturity, decline, and, eventually, rebirth. Through these stages, a company’s compensation objectives, strategies, and challenges will continue to evolve. The presentation will cover key compensation concepts, including equity award design, market benchmarking, regulatory compliance, and tax issues, throughout a company’s lifecycle. 

  Learning Objectives: 

  • Identify the unique compensation challenges faced by companies during a typical corporate life cycle. 
  • Understand core compensation principles involved in the design and implementation of compensation programs at every stage.   
  • Develop a basic knowledge of critical tax and regulatory issues related to compensation and benefits.
